- Your content stays yours. You are responsible for having the right to enter it.
- Prices and valuations are software estimates, not appraisals or professional advice.
- A customer response on a share link shows intent. It is not a signature or a contract.
- Disputes go to individual arbitration unless you opt out by email within 30 days.
A summary to help you read these terms. The full text below is what applies.
Please read these terms before using Basinly. By creating an account or using the service, you agree to them. If you are using Basinly for an employer or another organization, you confirm that you have the authority to accept these terms for that organization. If you do not agree, do not use Basinly.
The service
Basinly provides market intelligence, valuation, and quoting support for oil and gas teams. The data, estimates, valuations, and AI-generated summaries in the app are for general information and to support your own judgment. They are not financial, legal, investment, tax, appraisal, or other professional advice.
Who can use Basinly
Basinly is a business tool for people who are at least 18 years old and using it for a business purpose. You agree to give accurate account information and to keep it up to date.
Accounts
You need an account to use Basinly. Keep your sign-in details secure and do not share your account. You are responsible for activity that happens under your account. Tell us promptly at support@basinly.com if you believe your account has been used without your permission.
Workspaces, roles, and members
Basinly is organized into workspaces that can have more than one member, each with a role such as owner, admin, or a more limited role. Data in a workspace is shared with its members. Owners and admins can invite people, change roles, and remove members. If you invite someone or share an invite link, you are responsible for who gains access. An invite link is a way in to your workspace, so treat it as sensitive and revoke it when it is no longer needed. You are responsible for how your workspace and its members use the service.
Fees
Basinly is currently offered at no charge during an early access period. We may introduce fees for some or all of the service in the future. If we do, we will give you advance notice and the choice to stop using the paid parts before any charge applies. You are responsible for any taxes on amounts you owe us.
Acceptable use
When using Basinly, you agree not to:
- break the law or infringe the rights of others,
- enter data you do not have the right to use, or upload malware,
- copy, scrape, resell, or redistribute the data or the service,
- reverse engineer or try to extract the underlying source, models, or data,
- use the service to build or train a competing product or a machine learning model,
- interfere with the service, get around its limits, or try to access accounts or data that are not yours.
Your content and your customers’ data
The quotes, valuations, leads, notes, and other content you enter remain yours. You give us permission to store, process, and display that content so we can provide the service. You are responsible for the content you enter and for making sure you have the right and any needed consent to use it, including information about your customers and other people. You will handle personal information you put into Basinly in line with the law that applies to you.
Sharing links and customer responses
Basinly lets you create links to share a quote or collect a request. Anyone with the link can open the page without signing in, so you decide what to include and who to send it to. You can revoke a link at any time. A response someone records through a link reflects intent and is not a signature or a contract. You are responsible for confirming any agreement through your own process.
Your deals and the prices you add
The prices of deals your workspace closes stay with your workspace and are not used to price another workspace’s quotes. The same goes for prices an owner or admin adds from vendor price sheets, auction results, or published listings. You confirm that you have the right to use those prices in Basinly. Your workspace can remove what it added. This is described further in our Privacy Policy.
Estimates, valuations, and pricing are not appraisals or advice
Basinly’s prices, valuations, net recovery figures, and advance sensitivities are software-derived estimates. They are not certified appraisals. Basinly does not inspect equipment, verify title or liens, perform an environmental review, or act as a licensed appraiser. Do not use a Basinly figure as the sole basis for a lending, credit, insurance, tax, investment, or purchase or sale decision. A lender, insurer, or other party may require an independent appraisal by a qualified machinery and equipment appraiser, and you should get one when it matters. You are responsible for verifying any figure before you rely on it or share it, especially anything you send to a customer, lender, or insurer.
Accuracy and availability
Basinly pulls from public and third-party data sources and from AI tools. That information can be incomplete, delayed, or wrong. Verify anything important before you rely on it, especially pricing and anything you send to a customer. We work to keep the service available but we do not promise it will be uninterrupted or error-free, and we may change, suspend, or stop features at any time.
Intellectual property
Basinly, including its software, design, and content other than your own inputs, belongs to us and our licensors. These terms do not give you any ownership of the service. If you send us feedback or suggestions, we may use them without any obligation to you.
Third-party services
Basinly relies on third-party providers and data sources. Their content and services are governed by their own terms, and we are not responsible for them.
Disclaimer of warranties
Basinly is provided “as is” and “as available.” To the fullest extent the law allows, we make no warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the service will be uninterrupted or that the data is accurate, current, or complete. Some places do not allow certain warranty exclusions, so parts of this section may not apply to you.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising from or relating to your use of Basinly, even if we were told such damages were possible. To the fullest extent the law allows, our total liability for all claims relating to the service is limited to the greater of the amount you paid us for the service in the three months before the claim or one hundred U.S. dollars. Some places do not allow these limits, so parts of this section may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Basinly and the people who work on it from any claims, losses, and costs, including reasonable legal fees, that arise from your content, your use of the service, your sharing of quotes or valuations, your violation of these terms, or your violation of any law or the rights of another person.
Dispute resolution and arbitration
Please read this section carefully. It affects how disputes between you and us are resolved and limits how you can seek relief.
Talk to us first. If you have a dispute, email us at support@basinly.com and give us 30 days to try to resolve it informally before starting a formal proceeding.
Binding arbitration. If we cannot resolve a dispute informally, you and we agree to settle it by final and binding individual arbitration, rather than in court, except as noted below. The arbitration will be run by a recognized arbitration body under its consumer or commercial rules, before a single neutral arbitrator, and may take place in Colorado or by video or phone where the rules allow.
Class-action waiver. You and we agree to bring claims only on an individual basis. Neither of us will bring or take part in a class, collective, consolidated, or representative action. The arbitrator may not combine more than one person’s claims and may award relief only to the individual party seeking it.
Exceptions. Either of us may bring a claim in small-claims court if it qualifies, and either of us may ask a court to stop actual or threatened infringement or misuse of intellectual property.
Your right to opt out. You can opt out of this arbitration and class-action waiver section by emailing us at support@basinly.com within 30 days of first accepting these terms. If you opt out, the Governing law section below applies to disputes instead. If any part of this section is found unenforceable, the rest of this section still applies, except that the class-action waiver is not severable, so if it is found unenforceable this entire arbitration section does not apply.
Governing law
These terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in Colorado.
Termination
You can stop using Basinly at any time, and you can delete your account from Settings. We may suspend or end your access if you break these terms or if we need to protect the service or other users. Sections that by their nature should survive, such as content ownership, disclaimers, limitation of liability, indemnification, and dispute resolution, continue to apply after your access ends.
Changes to these terms
We may update these terms as the product changes. When we do, we revise the date at the top of this page. If a change is significant, we will take reasonable steps to let you know. If you keep using Basinly after a change, you accept the updated terms.
General
- If any part of these terms is found unenforceable, the rest stays in effect.
- Our not enforcing a term is not a waiver of our right to enforce it later.
- You may not transfer these terms or your account without our consent. We may transfer them in connection with a merger, acquisition, or sale.
- We are not responsible for delays or failures caused by events beyond our reasonable control.
- These terms and the Privacy Policy are the entire agreement between you and us about the service.
